Interpretation

In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings:

"Additional Services": means the optional added value services which We offer directly to Customers in order to enhance their Application experience, including the collection of Regulated Fees;

"Additional Service Fee": means the fees payable by You for the Services purchased in accordance with these Terms and Conditions;

"Application": means a form to be completed by a Customer requesting the provision of visa application, passport or other Services;

"Application Fee": means the relevant Regulated Fee payable by You to UKVI or HMPO in relation to an Application;

"Application Services": means the processing of Applications by VFS;

"Chargeback": means where a Customer applicant using the online payment portal makes a complaint to their card issuer bank that a transaction is disputed and/or fraudulent;

"Customer" or "You": means the person requesting and/or purchasing the Additional Services or any party acting on such person's instructions (and "Your" shall be construed accordingly);

"Document Checking Service": has the meaning given at clause 3.6.4;

"Form Filling Assistance": has the meaning given at clause 3.6.3;

“HMPO”: means His Majesty’s Passport Office a part of the Home Office based in United Kingdom;

"Home Office": means the Secretary of State for the Home Department in the United Kingdom;

"Issuing Bank": means the bank who has issued a card to You as card holder;

“No Show”: means when the Customer does not attend the VAC on the day and time of their appointment;

"Notification Service": has the meaning given at clause 3.6.1;

"ODMV": means On Demand Mobile Visa;

"Priority Applications ": means a Visa Application that is processed ahead of a standard Visa Application typically within five (5) Working Days by the Home Office;

"Regulated Fees": means the fees regulated by UKVI or HMPO under UK legislation and includes fees for Priority Visa Applications, Super Priority Visa Applications and User Pays Fees. (UKVI customers only) In accordance with Article 28 of the Vienna Convention on Diplomatic Relations, 1961, such fees are not subject to any dues or taxes.

"Refund Eligibility Criteria": means the criteria set out at clause 4.3 below;

"Refund Request": means the process of initiating a refund, which can be found on ‘Request a refund’ page or may be obtained from a VAC;

"Services": means the Application Services and Additional Services collectively which are provided by Us;

"Super Priority Applications ": means a Visa Application that is processed ahead of a Priority Visa Application or standard Visa Application, typically within two (2) Working Days by the Home Office;

"Third Party Sites": means a third party website which may be accessible or linked to via the Website;

"Third Party Terms and Conditions": means the terms and conditions for the use of the payment portal and provision of the other Services which may be accessible or linked to via the Website;

"Transaction Charges": means any fees levied by a bank or financial institution upon processing a valid refund request to You or a Customer (as applicable) which may vary from case to case;

"UKVI": means the UK Visas and Immigration, a part of the Home Office based in United Kingdom;

"Us" or "We" or "Our": means VF Worldwide Holdings Ltd, Unit 3101-A, JBC 1, Plot No. JLT- PH1 – G2A, Jumeirah Lakes Tower, Dubai, UAE or its subsidiaries, affiliates and sub-contractors who provide the Services; The terms “Us" or "We" or "Our" used in this document, refers to the entity that You are contracting with. Your contracting entity will generally be determined based on Your location and the entity in the said location will be the entity providing the Services to You;

"User Pays Fee": a Regulated Fee that covers the cost of operating a User Pays VAC in certain locations; (for UKVI customers only)

"User-Pays VAC": means a visa application centre which has been provided as an additional convenience for Customers and use of which attracts an additional surcharge for most customers; (UKVI customers only)

"VAC”: means a visa application centre where the Services are provided to the Customer;

"Website": means Our website, the address of which is www.vfsglobal.com/united-kingdom; and

1. IMPORTANT NOTES

1.1 We process Applications on behalf of UKVI and HMPO in accordance with Our contract with them. We have been awarded a right to provide Services to You under Our contract with UKVI and HMPO. To enable Us to do so, Customers must comply with the requirements in clause 2 (Processing Your Application). By continuing with an Application, You accept these Terms and Conditions in full.

1.2 Clause 3 (Additional Services) applies to the Additional Services.

1.3 Only fees for Additional Services are received by us. Except where covered in clause 4 (Refunds), all fees for Additional Services are non-refundable once You have attended Your biometrics appointment, or submitted your application at the VAC (with the exception of courier return services) and will be retained by Us, even if You do not make or proceed with an Application, and whether or not Your Application is successful.

1.4 If You have not yet attended Your biometrics appointment or submitted your Application at the VAC and would like to cancel any Additional Services, please request a refund at https://visa.vfsglobal.com/dom/en/gbr/request-a-refund.

1.5 Clause 5 (Website Usage) governs Your use of Our Website.

1.6 By continuing with an Application to UKVI or HMPO, or by purchasing any Additional Service, You hereby accept and confirm that, prior to submitting an Application, You have read, understood and agreed to be bound by these Terms and Conditions.

2. PROCESSING YOUR APPLICATION

You are responsible for the accuracy of Your Application form. We do not guarantee that We will find any errors and We do not verify any of the information You have provided.

2.1 We are the outsourced partner of UKVI and HMPO. In this capacity, We are responsible for: receipt of Applications; collection of biometric data where applicable; submission of Applications and biometric data to UKVI for consideration; collecting passports from Customers and returning passports back to Customers; and collection of Regulated Fees.

2.2 Your Application Fee is paid to UKVI or HMPO. If You are seeking a refund of Your Application Fee, You must do so through the process on the UKVI or HMPO website.

2.3 Acceptance and Rejection of Applications

The assessment of Applications itself is not carried out by Us and the grant or refusal of UK visas or passports is at the sole discretion of UKVI or HMPO. UKVI or HMPO reserves the right to ask for further documentation and information from the Customer, and to refuse any Application. You must supply such further documents and information if You would like Your Application to continue to be considered. We may request or receive further documentation and information on UKVI's or HMPO's behalf.

2.4 General Obligation

We will process all Applications in accordance with all procedures prescribed by UKVI or HMPO.

2.5 Customer's Responsibilities

2.5.1 It is Your responsibility to read and accept the terms and conditions of Application on the UKVI website or HMPO website as relevant, before applying for a visa or passport.

2.5.2 Once You have submitted Your Application, You accept that We and UKVI or HMPO will begin to process that Application immediately and as a result You may have the right to cancel (withdraw) Your Application under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

2.6 Processing Times

2.6.1 The processing times for Applications (including Priority Visa Applications and Super Priority Visa Applications) are estimates only. The processing of Your Application is subject to the procedures and timescales of UKVI or HMPO, over which We have no control.

2.7 Advertising Material

2.7.1 Where You have provided Your consent, advertising material may be included along with passports or other documents when they are returned to You by Us. If You wish to receive any such advertising material, please notify Us in advance at the time of submission of Your Application. Please note that all advertising material accompanying the relevant documents is provided by Us, and does not have the endorsement of UKVI or HMPO. If at any time You no longer wish to receive advertising material from Us, please opt out using the “Data privacy rights form at https://www.vfsglobal.com/en/general/data-privacy-rights-form.html.

2.8 Priority Applications and Super Priority Applications

2.8.1 You are responsible for paying the fees for Priority Visa Applications or Super Priority Visa Applications in addition to the Application Fees. These fees are collected by Us and remitted to UKVI in their entirety.

2.9 User Pays Centres (UKVI customers only)

2.9.1 In some locations where demand is relatively low or where there are already free-to-use options in the same country the visa application centres may be designated as User Pays VACs. This means that You will be charged an additional Regulated Fee to make use of such centres. This allows You to book an appointment at a VAC closer to Your home. The User Pays Fees are collected by Us and remitted to UKVI

2.10 Changes to Procedures and Fees

The procedures and fees of UKVI or HMPO for the processing of visas, passports and related services (including Regulated Fees) are outside Our control and subject to change by UKVI or HMPO without prior notice. We do not accept responsibility for any changes in procedures or the Application fees made by UKVI or HMPO.

2.11 Loss or damage to passports and other travel documents

We take every reasonable precaution while handling a Customer's passport and documents. If a Customer's submitted passport or documents are lost or damaged beyond a useable condition, then We will pay to the Customer the amount of any reasonable fees charged by the government of the Customer's home country, for the replacement of the lost or damaged passport or other documents through their normal replacement procedure. We will assist the Customer with the same within Our capacity. Such payments will be made by Us to the Customer on the presentation of the payment receipt issued by the government of their respective home country for the replacement of such lost or damaged passport or documents. We will not be liable for any other wasted expenditure, lost flight or travel costs, losses, costs, fees, fines or damages arising to a Customer or any travelling companion or family members as a result of lost or damaged documents. 2.12 Disclaimers – Please read carefully

You are responsible for ensuring that You leave sufficient time for Your Application. We cannot be held responsible for any delays.

Except as set out in clause 2.11 above, We shall have no liability to Customers in connection with any Applications, including but not limited to liability in or under contract, negligence, tort, statute or otherwise howsoever arising, and including liability for any delay or failure in handling or processing Applications, loss of or delay to passports and other documents, delays involving UKVI or HMPO, and rejections of Applications for any reason, and for the avoidance of doubt We:

2.12.1 No Liability for Incorrect Information

are not responsible for loss, delays or non-issuance of any Application arising from or in connection with (to include but not restricted to) incomplete Application forms, incorrectly or falsely completed Application forms, and inaccurate or incomplete supporting documentation;

2.12.2 No Liability for Events Not In Our Control

shall not be considered to be in breach of contract or negligent or otherwise liable in any way whatsoever for any delay or failure of any Application or loss, damage or delay to any passport or other documents due to accident, theft, natural disasters or any other reason outside the control of, and not arising out of Our wilful default, or for the loss or damage to any passport or other document after it has been handed over to the Customer;

2.12.3 No Liability for Postal and Courier Service

subject to clause 2.11 above and clause 3.6.6 below, We shall have no liability for any delays, or for loss of or damage to any Application, passport or other documents, caused by, or occurring whilst any Application, passport or document is in the possession of, any postal or courier service, including transportation of Applications, passport or other documents between Us and UKVI or HMPO; and when being returned by Us to the Customer;

2.12.4 No Liability for Assessment of Applications

are not involved in the process of assessment of Applications, or their grant or refusal, and is not responsible for any delay by UKVI or HMPO in assessing, granting or refusing any Application or for the grant or rejection of any Application;

2.12.5 No Liability for Wasted Costs and Expenses

shall have no liability to any Customer, or any other person relying on or benefiting from any Application, for any commitment, cost or expenditure incurred in reliance on or anticipation of receiving a UK visa or passport, whether within a particular timescale or at all, including but not limited to air travel, hotel, and other travel and accommodation arrangements, and any other arrangements made.

We recommend that You do not purchase tickets or make bookings which cannot be cancelled prior to the issuance and receipt of a visa or passport, except where it is a specific requirement stated as part of the Application, in which case open tickets should be obtained; and

2.12.6 Exclusion of Loss and Damage

other than as stated in clause 2.11 above and to the maximum extent permitted by law, We shall not be liable for any losses including any indirect, incidental, or consequential damages losses arising out of or in connection with the Services. This exclusion of liability includes, but is not limited to, where the loss is caused by the delay, misplacement, loss or damage of Applications, passports and other documents.

3. ADDITIONAL SERVICES

3.1 This clause 3 applies to the Additional Services offered by Us to Customers to enhance their Application process. They are distinct from the Application Service which We undertake on behalf of UKVI or HMPO as these Additional Services are delivered under a contract between Us and the Customers directly pursuant to these Terms and Conditions. The following Terms and Conditions apply to the provision of the Additional Services.

Customers purchasing Additional Services should read the service descriptions carefully to understand what is covered and what is not covered by the relevant Additional Service and the specific terms which apply to each Additional Service .

3.2 These Terms and Conditions shall also apply to any new Additional Service which We offer on Our Website.

3.3 The Additional Services are distinct from the standard Application processing service. The purchase of any Additional Service does not imply or guarantee in any way that Your Application will be successful and does not affect Our liability under clause 2 above. See clause 2 above for rules applicable to the processing and assessment of Your Application by UKVI or HMPO.

3.4 Prices and Payment

3.4.1 The Additional Service Fees (inclusive of any applicable taxes) are calculated and payable in advance by You as set out at www.vfsglobal.com/united-kingdom. The Additional Services will be made available to You once Your payment has been authorised. There will be no contract of any kind between You and Us unless and until You make authorised payment for the relevant mandatory or non-mandatory Additional Service(s). At any point up until then, We may decline to supply the Additional Services to You without giving any reason.

3.4.2 When booking Additional Services online, You will receive a confirmation of Your payment by email, as well as an on screen confirmation after You make payment of the Additional Service Fee.

3.4.3 Additional Service Fees are inclusive of applicable taxes and Our Website will state where any additional taxes are applicable and payable by You.

3.4.4 Your credit/debit card details will be encrypted to minimise the possibility of unauthorised access or disclosure. Authority for payment must be given at the time of placing Your order.

3.5 Using the Additional Services

3.5.1 We provide an online Application and payment portal to support the delivery of the Additional Services to You.

3.5.2 We warrant that We have the right to offer and provide the Additional Services and will use all reasonable skill and care in making the Additional Services available to You and in ensuring their availability. We do not give any other warranties in respect of the Additional Services.

3.5.3 We are continually seeking to improve the Additional Services. We reserve the right, at Our discretion, to make changes to any part of the Additional Services as described on Our Website, provided that such changes do not materially reduce their content or functionality.

3.6 Terms applicable to specific Additional Services

The following Terms and Conditions are not exhaustive and Customers should also carefully read the description of each Additional Service and special conditions set out for each Additional Service on the Website. All Services are subject to availability at the relevant VAC. Please check Our Website for details of availability.

3.6.1 Notification Service (UKVI customers only)

The Notification Service is an Additional Service provided through a third party telecom service provider who will provide the notifications to You. In the event of any delay in this Additional Service or this Additional Service not being provided, Our liability is limited in accordance with clause 3.9.

3.6.2 Flexi-Appointments (UKVI customers only)

A flexible appointment allows a Customer to attend a VAC to enrol biometrics or submit their Application without having to specify a specific time in advance. These appointments are subject to availability.

3.6.3 Form Filling Assistance (UKVI customers only)

(a) Our staff shall read the questions on the form to Customers and record the answers verbatim. No advice may be given as part of this Additional Service and Our staff are not permitted to offer advice. If a Customer nevertheless seeks or receives a member of staff's opinion on any matter, Customers are not entitled to rely on such advice or opinion and We do not accept any liability for the same.

(b) Customers must satisfy themselves the answers submitted are accurate at the time of receiving the Additional Service and no liability can be accepted for the outcome of any Application.

(c) We do not guarantee the complete accuracy of any translators used to provide the Form Filling Assistance Additional Service as there will be margins for error. VFS accepts no liability for errors in translation unless a Customer can reasonably show that the translation was inaccurate to such an extent that the translator did not have the reasonable level of skill and competence required of a professional translator. If such a circumstance exists Our liability is limited in accordance with clause 3.9.

(d) In the event that a Customer is not able to provide all relevant documentation at the point of availing the Form Filling Assistance Additional Service, they may return to the VAC to resume the Additional Service only once. Thereafter, We have no further liability to provide the Form Filling Assistance Additional Service or any refund in respect of the same.

3.6.4 Document Checking Service (UKVI customers only)

The Document Checking Service entails checking that a Customer has: completed all required questions on the form; that all mandatory documents have been provided; and, if not, notify the Customer of the required time scale in which to supply the same. We do not and cannot check the accuracy or appropriateness of a Customer's answers or the content of documents as part of this Document Checking Service and We accept no liability whatsoever or howsoever caused for any Application which is rejected or delayed. In the unlikely event that We are demonstrated by a Customer to have been negligent in providing the Additional Service, as described by this clause, Our liability shall be limited in accordance with clause 3.9.

3.6.5 Translation Service

(a) We do not guarantee the complete accuracy of any translators used to provide the Additional Service as there will be margins for error. We accept no liability for errors in translation unless a Customer can reasonably show that the translation was inaccurate to such an extent that the translator did not have the reasonable level of skill and competence required of a professional translator. If such a circumstance exists, Our liability is limited in accordance with clause 3.9.

(b) We will only translate the documents which have been brought to the VAC with the Customer as part of the Additional Service. In the event that a Customer has failed to bring all relevant documents or must return to the VAC at a later date, they will not be entitled to further translation Additional Services without charge.

3.6.6 Courier Service (UKVI customers only)

(a) We take every reasonable precaution while handling a Customer's passport and documents. If a Customer's submitted passport or documents are lost or damaged beyond a useable condition, then We will pay to the Customer the amount of any reasonable fees charged by the government of the Customer's home country, for the replacement of the lost or damaged passport or other documents through their normal replacement procedure. We will assist the Customer with the same within its capacity. Such payments will be made by Us to the Customer on the presentation of the payment receipt issued by the government of their respective home country for the replacement of such lost or damaged passport or documents.

(b) Subject to clause 3.6.6(a) above, We shall have no further liability for any delays, or for loss of or damage to any Application, passport or other documents, caused by, or occurring whilst any Application, passport or document is in the possession of, any postal or courier service, including but not limited to transportation of Applications, passport or other documents between Us and UKVI or HMPO; and when being returned by Us to the Customer.

(c) Courier Return Plus is an optional upgrade to our standard Courier Service, which includes SMS notifications. This service offers customers an additional payout in the event of document damage or loss during transportation. In such cases, this payout will be provided in addition to the reasonable fees outlined in section (a) above.

3.7 No Commercial Use

The Additional Services are intended for and shall only be available for non-commercial and domestic use by individual Customers. We reserve the right to refuse orders from businesses or any orders that We consider are for commercial or other non-domestic concerns. You may not re-sell the Services without Our prior written consent.

3.8 Cancellation and Refunds

Once You have paid for the Additional Services, We shall make the relevant Additional Services available to You. You are not able to cancel any purchase of Additional Services after the Additional Services are made available other than in accordance with clause 4 (Refunds).

3.9 Limitation of liability

3.9.1 Whilst VFS provides the Application Services, it does not make any determination as to whether an Application will be granted or refused. VFS facilitates the provision of visas and passport services by HMPO, including by providing Priority Visa Applications and Super Priority Visa Applications, but the assessment and grant or refusal of your Application is conducted by UKVI or HMPO and as such, We offer no guarantee that Your Visa or Passport Application will be processed within the desired timescales, including those set for Priority Visa Applications and Super Priority Visa Applications, and We have no liability to any Customer, or any other person relying on or benefiting from any Application, for any commitment, cost or expenditure incurred in reliance on or anticipation of receiving a UK visa or passport , whether within a particular timescale or at all, including but not limited to air travel, hotel, and other travel and accommodation arrangements, and any other arrangements made.

3.9.2 Our liability to You for any losses relating to or arising in connection with Additional Services provided to You and whether based on an action or claim in contract, negligence, tort, misrepresentation (other than fraudulent misrepresentation) breach of statutory duty or otherwise, shall be limited to an amount equal to the Additional Service Fees paid by You in connection with the Additional Service(s) to which such claim relates. The exclusion of losses under clause 2.12.6 also applies to the Additional Services.

4. REFUNDS

Notice to all Customers:

As set out above, this clause does not apply to any Application Fee which You paid directly to UKVI or HMPO. We do not collect or receive these fees. Refunds are only provided by Us in relation to Additional Services Fees and Regulated Fees collected by Us subject to fulfilment of Refund Eligibility Criteria.

Refunds for any other fees are subject to separate UKVI or HMPO refund policies – please see the relevant UKVI or HMPO refund terms to request a refund.

It is important that You read this clause 4 carefully. You should familiarise Yourself with this clause, prior to purchasing any services from Us.

Please note that where there is a No Show, You may not be entitled to a refund.

4.1 General Refund Conditions

4.1.1 If You have paid for an Additional Service, You may request a refund in accordance with the Refund Eligibility Criteria as further set out in clause 4.3 below. This includes the circumstances where You have purchased a Service but been notified by Us that it has been cancelled or withdrawn.

4.1.2 Refunds of Additional Service Fees will only be considered where You satisfy the Refund Eligibility Criteria in full. If You (or the relevant Customer as applicable) fail to meet any of the Refund Eligibility Criteria, We shall have the right in Our sole discretion to decline the request for a refund.

4.1.3 To apply for a refund, You must request this online via Our ‘Request a refund’ page or from a VAC.

4.1.4 We shall process Your Refund Request following receipt as soon as is reasonably practicable. Response times will vary depending on the mode of payment and stated reasons for the request for a refund of the Additional Service Fees. In any event, We shall notify You of the outcome of the request in accordance with the timescales set out in clause 4.4 below.

4.1.5 By filling in and submitting the Refund Request, the payment of a refund of an Additional Service Fee is not guaranteed. The refund will only be approved or rejected after verification of the Refund Eligibility Criteria by Us.

4.1.6 Any payment processing charges, Transaction Charges or loss due to exchange rate fluctuation which arise upon processing a refund of Additional Service Fees shall be borne solely by You. Payment processing and Transaction Charges will be deducted from the final amount to be refunded. Loss due to bank charges and difference in exchange rate will be borne by the Customer and VFS is not liable to pay any interest on this amount.

GST / VAT or similar such indirect taxes, if any, charged on the Additional Services Fees may be refunded, subject to applicable tax laws.

4.2 Applying for a Refund Request

4.2.1 You may apply online for a refund from Your online account.

4.2.2 You may also request a refund from a VAC and submit a completed form to the relevant VAC where You purchased a Service. The VAC will ensure Your form is processed in the appropriate timescales set out below.

4.3 Refund Eligibility Criteria

4.3.1 All requests for refunds or cancellation of a Service(s) will only be accepted where:

(a) the Service has not been delivered or You have not already completed Your biometric enrolment (if applicable);

(b) the refund request is received by Us within 99 days of the date of payment and You have not completed Your biometric enrolment (except for the ODMV( (for UKVI customers);

(c) for ODMV, We require 96 hours' notice of cancellation prior to the biometric appointment to be eligible for a refund;

(d) it is clear a Customer has been charged more than once for the same Service; and/or

(e) the Services have not been used in full.

We advise You that any fee paid to Us cannot be refunded on the grounds that UKVI or HMPO has rejected your application or that You have decided to cancel the Application after submitting it.

You are strictly advised that any and all Application Fees paid to UKVI/HMPO or fees paid to Us solely for and on behalf of UKVI/HMPO are not subject to a right of cancellation with Us. Any Refund Request for such Application Fees must be addressed solely to UKVI or HMPO.

4.4 Refund processing timeline

4.4.1 You must send the Refund Request to Us as instructed above.

4.4.2 Within five (5) working days of receipt of the Refund Request, We shall contact You to request any further information (if required) and You shall provide such information as soon as reasonably practicable and in any event no later than seven (7) days following such request unless agreed otherwise.

4.4.3 Within seven (7) days following the receipt of any additional information requested by Us (or where no further information is requested, five (5) days from receipt of Your Refund Request), We shall notify You by e-mail of the decision on whether a refund shall be made.

4.4.4 Refunds of Additional Service Fees will be processed within fifteen (15) working days from the date of notifying You of the decision.

4.4.5 You will have no recourse to a refund of the Additional Service Fee if We suspect You have, or are, engaged in, or have in any way been involved in, fraudulent or illegal activity on the Website.

4.5 Receiving Your Refund

4.5.1 Refunds will be processed by the same method as payment was made for these Services. For example, if payment was made via use of credit or debit card, refund will also be done via the same credit/debit card. If We are unable to process refund by the same mode in which payment has been made We will notify the Customer that We will pursue an alternate mode of payment for processing such refund.

4.6 Chargebacks

4.6.1 We expect You to contact Us using Our online feedback form to resolve any problem or issue related to Your Application and payment, before You make any Chargeback request to Your bank. This clause does not affect any rights which You may have against the issuer of a debit or credit card.

4.6.2 We will investigate any Chargeback requests made by You and in response will inform Your Issuing Bank whether any services has been cancelled.

5. WEBSITE USAGE

This clause 5 governs Your use of the Website [www.vfsglobal.com]. Please read through this clause carefully as it affects Your legal rights and liabilities when using Our Website. If You do not agree to these Terms and Conditions, please do not register with Us or use the Website.

5.1 Use of the Website

5.1.1 The Website is provided to You for Your personal use subject to these Terms and Conditions. By using the Website You agree to be bound by these Terms and Conditions.
